1. Agreement to these terms
These Terms of Service (the "Terms") are a binding contract between you and Nord Assistant, LLC ("Nord Assistant", "we", "us"). They govern your access to and use of the Nord Assistant application, website, API, and assistant (together, the "Service").
You accept these Terms by checking the acceptance box when you create your account, and by using the Service. If you do not agree, do not create an account and do not use the Service.
If you are accepting on behalf of a company, fleet, marina, boatyard, or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.
We keep a record of which version of these Terms you accepted and when. The version in force is 2026-08-02, effective August 2, 2026.
2. Who can use Nord Assistant
- You must be at least 18 years old and able to enter into a binding contract.
- You must give accurate registration information and keep it current.
- One account per email address. Do not create an account for anyone else, and do not share your login.
- You are responsible for keeping your credentials secure and for everything done under your account. Tell us promptly at dexter@nordassistant.com if you suspect unauthorized access.
- You are responsible for the people you invite into your fleet — crew, managers, contractors. Their use of the Service through your fleet counts as your use, and you must have the right to share with them whatever you share.
- You may not use the Service if you are barred from doing so under applicable sanctions or export control laws, or where these Terms are prohibited by law.
3. Nord Assistant is a beta product
The Service is offered as an early-access beta. This is not a figure of speech, and the practical consequences below are part of what you are agreeing to.
- The Service is incomplete and under active development. It may be unstable, may behave unexpectedly, and may contain defects.
- Features may be added, changed, limited, degraded, or removed at any time, with or without notice. Nothing in the Service today is a commitment that it will exist tomorrow.
- There is no service level agreement, uptime commitment, or support commitment. Support is best-effort.
- Your data may be lost, corrupted, or reset. Bugs, migrations, infrastructure changes, and the transition out of beta can all destroy data. Keep your own copies of anything you cannot afford to lose.
- Do not use the Service as your only record of anything you are legally or operationally required to keep — statutory logbooks, required inspection records, insurance documentation, or evidence you may need later.
- Beta access is granted at our discretion and may be limited, suspended, or withdrawn at any time, including ending the beta program entirely.
- Non-public features, unreleased functionality, and pre-release pricing information you learn through the beta are confidential. Do not publish or disclose them without our written permission.
We will make reasonable efforts to give notice before deleting or migrating beta data on purpose, but we cannot promise notice for data lost to failure or defect.
4. Free today, and what happens when that changes
The Service is currently provided free of charge. It will not necessarily stay that way, and you should not plan on the assumption that it will.
- We may introduce fees, paid plans, usage limits, or metered pricing for any part of the Service at any time — including for features that are free today.
- We may reduce or remove any free tier, and may cap storage, document count, assistant usage, or any other resource.
- We will give you at least 30 days’ notice by email or in the app before any charge applies to your account.
- Fees are never retroactive. You will not be charged without adding a payment method and affirmatively agreeing to a plan and its price.
- If you do not want to pay, you do not have to. But if you decline, you may lose access to the Service — either to paid features or to the Service entirely, including access to your data through Nord Assistant.
- Before access is restricted for declining to pay or for non-payment, we will give you at least 30 days from the date of notice to export your data.
- Once billing begins, payments will be handled by a third-party payment processor under its own terms. Subscriptions may renew automatically until cancelled; renewal terms, price, and cancellation instructions will be presented to you clearly before you are charged, and you may cancel at any time effective at the end of the then-current term.
- Prices exclude taxes. You are responsible for any sales, use, VAT, GST, or similar taxes, other than taxes on our income.
- Except where required by law or expressly stated at the time of purchase, fees are non-refundable.
5. The assistant is information, not advice — and your decisions are yours
The Service includes an AI assistant that generates answers, summaries, checklists, maintenance suggestions, float plan and route information, weather and tide summaries, and other output, drawing on your documents, your fleet data, and third-party sources.
Assistant output is generated by statistical language models. It can be wrong, incomplete, outdated, or entirely fabricated, and it can be all of those things while sounding confident and specific — including about your vessel, its equipment, its service history, applicable regulations, and current conditions.
Assistant output is provided for informational purposes only. It is not professional advice of any kind. It is not marine surveying, marine engineering, navigation, safety, legal, regulatory, insurance, medical, or financial advice, and no professional relationship is created by your use of the Service.
You are solely responsible for verifying any output before you act on it, and for every decision you make and every action you take or do not take. Exercise your own independent judgment, and check the assistant against manufacturer documentation, official charts and notices to mariners, official weather and tide sources, applicable law, and qualified professionals.
Safety-critical limits. The Service is not a navigation system and is not an aid to navigation. It is not a substitute for official nautical charts, notices to mariners, required safety equipment, applicable Coast Guard or flag-state requirements, or a qualified captain, crew, mechanic, or surveyor. Float plans created or shared in Nord Assistant are not filed with the Coast Guard or any other authority, and sharing one in Nord Assistant does not notify search and rescue or any emergency service. Weather, tide, and current information comes from third parties, may be delayed or incorrect, and is not an official forecast.
Do not use the Service for real-time navigation, vessel control, automated safety decisions, or any use where a failure or an inaccurate output could contribute to injury, loss of life, property damage, or environmental harm. Where a licensed professional, a certification, or a legally required inspection is called for, obtain one; assistant output is not a substitute and must not be presented as one.
To the fullest extent permitted by law, Nord Assistant is not liable for any action taken or not taken by you or by anyone else on the basis of assistant output or any other information in the Service, or for any consequence of such action — including property damage, personal injury, death, grounding, collision, fire, sinking, environmental damage, regulatory penalty, missed or improper maintenance, voided warranty, or economic loss.
Assistant output is not unique to you. Other users may receive similar or identical output for similar questions, and we make no claim that output is original or that you have exclusive rights in it. As between you and us, you may use output generated for you, subject to these Terms.
6. Your content and your data
You keep ownership of the documents, manuals, photographs, maintenance records, logs, checklists, trip and float plan data, messages, and other material you put into the Service ("Your Content"). We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, index, and create derived representations of Your Content — extracted text, rendered page images, search embeddings, and knowledge graph entries — solely to operate, secure, support, troubleshoot, and improve the Service for you and for the people you share it with. This license exists so the Service can function; it ends when you delete the content or your account, except for copies in routine backups until they age out and for anything you have shared with other users.
- You represent that you have the rights necessary to upload Your Content and to let us process it as described here, and that it does not infringe anyone’s rights or violate any law.
- Manufacturer manuals and similar third-party materials often carry their own license restrictions. Confirming that you may upload and share them is your responsibility, not ours.
- If Your Content includes personal information about other people — crew, contractors, customers — you are responsible for having a lawful basis to provide it and for any notices or consents that requires.
- We do not sell Your Content. We send it to the AI providers listed in section 8 under agreements that do not permit them to use it to train their models.
- We may generate and use aggregated or de-identified statistics about how the Service is used, provided they do not identify you, your organization, or your vessels.
- Any feedback, suggestions, or feature requests you send us may be used freely, without restriction or obligation to you.
You can delete content from within the Service and can request deletion of your account by writing to dexter@nordassistant.com. We will delete or de-identify Your Content within a reasonable period, subject to backup retention cycles and any records we are required to keep by law.
7. Privacy
We collect and process the information you provide when you create an account, the content you put into the Service, and technical and usage data generated as you use it — including IP address, device and browser information, pages viewed, and actions taken. We use it to operate, secure, support, and improve the Service, and to communicate with you about it.
We share that information with the providers listed in section 8, who process it on our behalf under their own terms. We may also disclose information where we reasonably believe we are legally required to, to enforce these Terms, or to protect the rights, property, or safety of anyone.
Depending on where you live, you may have rights to access, correct, delete, or obtain a copy of your personal information, or to object to certain processing. Write to dexter@nordassistant.com to exercise them.
These provisions govern our data practices until we publish a standalone privacy policy, at which point that policy will govern and will be linked from this page.
8. The services Nord Assistant is built on
Nord Assistant is a hosted service assembled from third-party infrastructure. Using it necessarily means your data is transmitted to, stored by, and processed by the providers below, each under its own terms of service and privacy policy. By using the Service, you consent to that processing.

The Service also queries the following read-only data sources. These receive a query — coordinates, a place name, a tide station — rather than your fleet content.

- These providers may store and process data outside your country, including in the United States.
- We may add, replace, or remove providers as the Service changes. The list on this page is the current one; where a change materially affects how your data is processed, we will update these Terms and ask you to accept the new version.
- Outages, defects, changes, price increases, or security incidents at any of these providers can affect the Service, including making it unavailable or causing data loss. We select providers with reasonable care, but we are not responsible for their acts or omissions and do not control them.
- If you have obligations to your own customers, crew, or insurers about where and how their data is processed, complying with those obligations is your responsibility.
9. Acceptable use
You agree not to:
- Use the Service unlawfully, or to store or transmit unlawful, infringing, defamatory, or malicious content.
- Reverse engineer, decompile, or attempt to derive the source code, models, or prompts behind the Service, except where that restriction is unenforceable by law.
- Scrape the Service, extract data in bulk by automated means, or circumvent rate limits, access controls, or authentication.
- Use the Service or its output to develop, train, or benchmark a competing product, model, or service.
- Resell, sublicense, or provide the Service to third parties as a service without our written permission.
- Upload malware, or probe, scan, or test the security of the Service without our prior written permission.
- Access another user’s account or data, or attempt to.
- Use the Service in any way that endangers people or property, or that violates maritime, environmental, safety, or export control law.
- Misrepresent assistant output as certified, professional, or officially sanctioned advice.
We may investigate suspected violations and may remove content or suspend or terminate accounts in response.
10. Dealings between owners, crew, and contractors
The Service lets boat owners and fleet managers post work, and lets contractors browse it and submit quotes. Nord Assistant is a tool for that exchange and nothing more.
- We do not vet, screen, endorse, employ, supervise, or guarantee any user, contractor, quote, price, schedule, or work performed.
- We are not a party to any agreement between users, we do not guarantee that anyone will pay or perform, and we provide no escrow, insurance, or dispute resolution between users.
- Verifying a contractor’s licensing, certification, insurance, and competence — and a customer’s ability to pay — is entirely your responsibility.
You release Nord Assistant and its officers, members, employees, and agents from any claim, demand, or damages arising out of or connected to a dispute with another user, whether known or unknown.
If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
11. Availability and changes to the Service
We aim to keep the Service available and working, but we do not promise that it will be. We may take it down for maintenance, impose or change usage limits, and modify or discontinue any feature at any time. During beta this may happen without advance notice.
12. Suspension, termination, and getting your data out
You may stop using the Service at any time and may ask us to delete your account by writing to dexter@nordassistant.com.
We may suspend or terminate your access if you breach these Terms, if your use creates legal, security, or operational risk, for non-payment once fees apply, after prolonged inactivity, or if we discontinue the Service or the beta program.
Except where a breach is serious or where legal or security reasons require immediate action, we will make reasonable efforts to give you at least 30 days’ notice and an opportunity to export your data.
When your access ends, your right to use the Service ends immediately, and we may delete Your Content 30 days after termination. Sections that by their nature should survive — including sections 5, 6, 9, 10, and 13 through 18 — survive termination.
13. Our intellectual property
We own the Service and everything in it other than Your Content and third-party materials — including the software, interfaces, designs, prompts, documentation, and the Nord Assistant name and logo. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service while your account is in good standing. No other rights are granted, and you may not use our marks without our written permission.
The Service includes open source components, which remain subject to their own licenses.
14. Copyright complaints
If you believe material on the Service infringes your copyright, write to dexter@nordassistant.com with: your contact details; identification of the work; identification of the material and where it is; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your signature.
We will respond to valid notices, may remove the material, and may terminate accounts of repeat infringers.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT YOUR DATA WILL NOT BE LOST; OR THAT ANY OUTPUT, INCLUDING ASSISTANT OUTPUT AND THIRD-PARTY WEATHER, TIDE, AND CHART-ADJACENT DATA, WILL BE ACCURATE, COMPLETE, CURRENT, OR FIT FOR ANY PURPOSE.
THIS IS BETA SOFTWARE. YOU USE IT AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, the exclusions above apply to the greatest extent permitted, and you may have additional rights.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORD ASSISTANT AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE WERE ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (US$100). WHILE THE SERVICE IS FREE, THAT CAP IS US$100.
These limits apply even if a limited remedy fails of its essential purpose, and they reflect an allocation of risk that is a fundamental basis of the bargain between us: the Service is offered free, in beta, and would not be offered on these terms without them.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by our negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnification
You will defend, indemnify, and hold harmless Nord Assistant and its officers, members, employees, and agents from any third-party claim, and any loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to: Your Content; your use of the Service; any action you take or fail to take based on assistant output; your breach of these Terms; your violation of any law or third-party right; or your dealings with other users.
18. Disputes, arbitration, and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS.
Talk to us first. Before starting arbitration or a lawsuit, send a written description of the dispute and the relief you want to dexter@nordassistant.com. Both of us agree to try in good faith to resolve it informally for 60 days from that notice.
Binding arbitration. If we cannot resolve it informally, any dispute arising out of or relating to these Terms or the Service will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitration will be conducted by videoconference or on written submissions, or in person in the county where you live if you request it. The arbitrator may award the same individual relief a court could, and the award may be entered as a judgment in any court with jurisdiction.
Class action and jury trial waiver. Both of us waive any right to a jury trial and to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim or a request for public injunctive relief, that claim alone will be severed and heard in the courts identified in section 19, and the rest of this section will remain in force.
Exceptions. Either of us may bring an individual claim in small claims court, and either of us may seek injunctive relief in court to stop infringement or misuse of intellectual property.
How to opt out. You may reject this arbitration agreement by emailing dexter@nordassistant.com within 30 days of first accepting these Terms, with your name, the email address on your account, and a clear statement that you are opting out of arbitration. Opting out costs you nothing and affects nothing else in these Terms.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, unless applicable law forbids shortening the limitations period.
19. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any dispute not subject to arbitration, both of us consent to the exclusive jurisdiction and venue of the state and federal courts located in California.
20. Changes to these terms
We may update these Terms as the Service changes. Each version carries a version identifier and an effective date, shown at the top of this page.
When we make a material change, we will publish the new version and ask you to accept it the next time you use the Service. You will not be able to keep using the Service without accepting it. If you do not want to accept a new version, you may stop using the Service and delete your account — which means you will lose access. Minor corrections that do not change what you are agreeing to may be published without asking you again.
21. General
- Entire agreement. These Terms are the whole agreement between us about the Service and replace any prior understanding on the subject.
- Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a provision is not a waiver of it.
- Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign them without our written consent.
- No third-party beneficiaries. These Terms create no rights for anyone who is not a party to them.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including provider outages, natural disasters, and acts of government.
- Independent parties. Nothing here creates a partnership, joint venture, agency, or employment relationship.
- Notices. We may give you notice by email to the address on your account or by posting in the Service; you consent to receiving notices and disclosures electronically. Notices to us go to dexter@nordassistant.com.
- Export and sanctions. You may not use or export the Service in violation of US export control or sanctions laws.
22. Notice for California users
Under California Civil Code section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
